The &pizza weekly Anniversary Sweepstakes Promotions (“Anniversary Promotion”) are sponsored and administered by IMA Pizza LLC d/b/a &pizza located at 611 Pennsylvania Avenue SE, Suite 131, Washington, D.C. 20003 (“&pizza”). Entering any weekly Anniversary Promotion as described below, constitutes your acceptance of these Official Rules and the discretion of &pizza in all matters related to the Anniversary Promotion. All federal, state, and local laws and regulations apply to each weekly Anniversary Promotion. In the event of a conflict or inconsistency with any marketing materials or communications concerning each weekly Anniversary Promotion, these Official Rules shall control.

THERE IS NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO PARTICIPATE IN OR WIN ANY WEEKLY ANNIVERSARY PROMOTION SWEEPSTAKES, AND A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

Entry: Each weekly Anniversary Promotion sweepstakes will run for a period of Sunday at 12:00 AM EST to Saturday at 11:59 PM EST of each week, beginning on ___, 2022 and running through December 21, 2022, and &pizza’s computer shall be the official timekeeper of each Anniversary Promotion (each week a “Promotion Period”). Any entries into each weekly Anniversary Promotion sweepstakes before or after these dates and times will be disqualified for that weekly Anniversary Promotion sweepstakes. &pizza reserves the right to end the Anniversary Promotion at any time, including before the end of the Promotion Period. You may enter each weekly Anniversary Promotion through any of the methods listed below, however, entry through a mobile device may incur standard data and message fees (consult your wireless provider plan for details and your device manual for capabilities). Any contact information collected will be used by &pizza in accordance with its privacy policy, available at https://order.andpizza.com/#/legal. Entries are limited to one per person/mobile number, per weekly Anniversary Promotion sweepstakes, provided however, that additional entries may be accepted from the same person/mobile number in connection with specified “additional entry opportunities,” for a specific weekly Anniversary Promotion sweepstakes.

Methods of Entry:

Entries for each weekly Anniversary Promotion sweepstakes may be submitted via text to #free to 200-03, or at the following link: https://andpizza.com/mystery-prize .

Eligibility: The Anniversary Promotion is void where prohibited or restricted by law, and all questions of eligibility are determined by &pizza in its sole discretion. &pizza reserves the right to confirm eligibility of all participants. The Anniversary Promotion is offered only to individuals who at the time of entry are eighteen (18) years or older, and legal residents of the United States or District of Columbia. Employees, directors, officers, representatives, and agents of &pizza and their affiliates and any other parties involved in the marketing or administration of the Anniversary Promotion along with their immediate family members and members of their households, are not eligible to participate in any weekly Anniversary Promotion.

Entry Guidelines: Entries submitted to each weekly Anniversary Promotion shall not be acknowledged and shall be considered property of &pizza. Entries may not contain any illegal or inappropriate material or infringe any intellectual property rights of third parties. By entering each weekly Anniversary Promotion, you represent and warrant all information submitted is accurate and you are the owner of all information submitted to &pizza including photos/videos, biographical information, name and likeness, and you agree to grant &pizza and its affiliates an irrevocable, perpetual, non-exclusive, transferable, fully-paid-up, royalty-free, worldwide license with the right to sublicense to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), transfer, and distribute any such materials in any format in connection with the administration and promotion of the Anniversary Promotion and for any other promotional, advertising, publicity or other lawful purpose. Duplicate entries, unless specifically permitted for a certain weekly Anniversary Promotion, by the same individual within the same twenty-four (24) hour period will be subject to disqualification, and any attempt to obtain entries in addition to the posted maximum by using multiple/different identities, mobile numbers or any other methods along with entries submitted through the use of automated system, devices, bots and/or other programs or software will be disqualified. &pizza cannot accept and is not responsible for entries which are lost, late, incomplete, invalid, unintelligible, misdirected, corrupted or distorted and shall not be responsible for incorrect or inaccurate entry information whether caused by technical or human error. &pizza shall further not be responsible for technical or human error which may occur while processing entries, and shall not assume any liability for error, mistake, interruption, misdirection, delay, damage, omission, deletion, theft, destruction, or alteration of entries. In the event of a dispute over who submitted a winning entry, the individual who is the owner of record of the mobile number used to submit the entry shall be considered the entrant. Any potential winner selected may be required to show proof of identity in order to claim the prize.

Prize: One (1) winner selected each Promotion Period shall receive ____ points loaded to their &rewards account equal to the value of one (1) regular-priced pie once a week for fifty-two (52) weeks, representing “one free year of &pizza” (redeemable for one-time use for orders through participating &pizza shops) (the “Prize”). Winners are not required to visit an &pizza shop for Prize collection. The total value of the Prize will not exceed $533.00 (exclusive of sales taxes). Redemption of the Prize may not be combined with other promotions or specials offers, is subject to availability, and not valid on delivery orders through third-party platforms. The Prize is void where prohibited and Prize points are void if reproduced, sold, traded, bartered, purchased, auctioned, altered or transferred including through a mobile device or app. Prize points will not be replaced if lost or stolen. The Prize may not be transferred, substituted or redeemed for cash. Any and all expenses associated with Prize acceptance and use, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the winner. &pizza reserves the right to substitute a prize of equal or greater value at any time, and further reserves the right to suspend or reschedule the Anniversary Promotion, or modify or cancel the Prize. If more Prize claims are received than the number of Prizes stated in these Official Rules due to human or technical error, &pizza reserves the right to award only a maximum of one (1) Prize for each weekly Anniversary Promotion during the Promotion Period.

Selection of Winner: The odds of winning the Anniversary Promotion depend on the number of entrants. One (1) winner will be randomly selected by &pizza for each weekly Anniversary Promotion sweepstakes from all entries received during the applicable Promotion Period for that weekly Anniversary Promotion sweepstakes. &pizza will announce the potential winner via text message. All potential winners are subject to verification by &pizza, in its sole discretion, and &pizza’s decisions are final and binding in all matters related to the Anniversary Promotion and awarding of the Prize. The potential winner will be required to respond to &pizza within forty-eight (48) hours in order to claim the Prize and as a condition of receiving the Prize must sign and return any documents requested by &pizza including an Affidavit of Eligibility and Liability/Publicity Release, and may be required to provide &pizza with their valid Social Security Number or Taxpayer ID/ W-9 Form for tax reporting purposes, upon request. If the winner does not return the signed release, or does not meet eligibility criteria, or is otherwise unwilling or unable to provide information necessary for Prize reporting or comply with the Official Rules, &pizza reserves the right to select an alternate winner from the remaining entries in accordance with these Official Rules, or to not award the unclaimed Prize.

Legal Terms and Conditions: &pizza reserves the right, in its sole and absolute discretion, to cancel, terminate, modify, extend, or suspend the Anniversary Promotion should non-authorized interference, fraud, pandemics including the COVID-19 pandemic, weather, force majeure events or other causes beyond the control of &pizza corrupt or impact the feasibility, administration, security, fairness, or proper conduct of any weekly Anniversary Promotion. &pizza reserves the right to disqualify any individual entrant it determines, in its sole discretion, is attempting or intending to violate the Official Rules, or undermine the legitimate operation of any weekly Anniversary Promotion by defrauding, cheating, or deceiving including through the use of automated methods of entry, or any individual engaged in conduct that is annoying, abusing, threatening, or harassing towards &pizza and its affiliates, their representatives, or any other participants. &pizza further reserves the right to seek damages from any individual involved in such conduct to the fullest extent of the law for any deliberate attempts to defraud or undermine the legitimacy of any weekly Anniversary Promotion. &pizza’s failure to enforce any provision of these Official Rules or part thereof, shall not constitute a waiver of that provision. Reproduction or distribution of any portion of these Official Rules is prohibited. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

Agreement to Official Rules: By entering any weekly Anniversary Promotion, you fully and unconditionally agree to and accept these Official Rules and the decisions of &pizza, which are final and binding. By participating in any weekly Anniversary Promotion, you waive any right to claim the Official Rules are vague or ambiguous. Winning a Prize is contingent upon fulfilling all requirements set forth in the Official Rules. Personal information provided in connection with any weekly Anniversary Promotion, including contact information shall be used in accordance with &pizza’s privacy policy, available at the following link: https://order.andpizza.com/#/legal . In the event of any ambiguity or error in these Official Rules, &pizza reserves the right to clarify or modify these Official Rules however it deems appropriate to correct any such ambiguity or error.

Indemnification: By entering any weekly Anniversary Promotion, you agree to defend, indemnify and otherwise hold &pizza, and its respective parents, subsidiaries, affiliated companies, promotion and distribution partners, their agents, officers, directors, and/or employees (collectively, the “Released Parties”) harmless from and against any and all liability of any nature whatsoever arising out of or relating to unauthorized interference in the Anniversary Promotion by you or directed by you, and breaches of any representations or warranties made by you, or license grants given by you, or any other terms and conditions contained herein, and/or injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in any weekly Anniversary Promotion or receipt or use of any Prize, including any such claim by the Released Parties’ employees or agents or any third parties.

Limitation of Liability and Release:

TO THE FULLEST EXTENT PERMITTED BY LAW, BY ENTERING ANY WEEKLY ANNIVERSARY PROMOTION, YOU HEREBY WAIVE ANY RIGHT TO AND AGREE THAT THE RELEASED PARTIES SHALL NOT BE RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES ARISING OUT OF OR RELATED TO THE ANNIVERSARY PROMOTION OR ANY PRIZE AWARDED, AND YOU FURTHER AGREE THAT YOUR REMEDIES FOR ANY CLAIMS RELATING TO ANY WEEKLY ANNIVERSARY PROMOTION ARE LIMITED TO ACTUAL OUT-OF-POCKET EXPENSES DIRECTLY RELATED TO PARTICIPATION IN THE WEEKLY ANNIVERSARY PROMOTION AND IN NO EVENT SHALL &PIZZA OR ITS AFFILIATES BE LIABLE FOR ATTORNEY’S FEES.

By participating in any weekly Anniversary Promotion or accepting the Prize, you agree that the Released Parties assume no liability and are not responsible for, and you hereby waive and release &pizza and its affiliates from, any actions, claims, damages, losses or injuries of any kind (collectively “Claims”) arising in connection with the Anniversary Promotion and/or the receipt, use or misuse of any Prize, including without limitation, Claims relating to: (1) the malfunction of any computer, mobile device, network, satellite, hardware, software or communications line; (2) unauthorized human intervention; (3) incorrect, delayed or inaccurate transmission, winner notifications, Prize claims or other information or communications relating to the Anniversary Promotion; (4) damage to any computer or mobile device; (5) any errors in these Official Rules, winner notifications or other announcements or communications relating to the Anniversary Promotion; (6) any delays in the delivery of the Prize; (7) publicity rights, defamation, invasion of privacy, or any other intellectual property or privacy right; and (8) any warranty, representation, or guarantee, express or implied, in fact or in law, related to any Prize, including but not limited to its quality, or fitness for a particular purpose.

IT IS A VIOLATION OF CRIMINAL AND CIVIL LAWS FOR ANY INDIVIDUAL TO ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF ANY WEEKLY ANNIVERSARY PROMOTION AND &PIZZA RESERVES THE RIGHT TO PURSUE ALL AVAILABLE REMEDIES INCLUDING DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

Disputes: Except where prohibited by law, you agree that any and all disputes, claims, and causes of action arising out of or related to the Anniversary Promotion or Prize shall be resolved individually, without recourse to class action, and exclusively by the state or federal courts located in New York County in the State of New York. All disputes concerning the interpretation, and enforceability of the Official Rules or rights and obligations in connection with the Anniversary Promotion, shall be governed by and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules.

Privacy: By entering any weekly Anniversary Promotion, you agree that your entry and any other personally identifiable information collected or used in connection with any weekly Anniversary Promotion is subject to and may be used by &pizza in accordance with its Privacy Policy posted on its website at https://order.andpizza.com/#/legal .
